Preamble

Client: Any professional or natural person having legal capacity within the meaning of Articles 1123 et seq. of the French Civil Code, or any legal entity, that visits the Site covered by these general terms and conditions.

Services: novinov europe SAS makes the services presented on the Site available to Clients.

Content: All elements constituting the information available on the Site, including text, images and videos.

Client information: Hereinafter referred to as 'Information', meaning all personal data that may be held by novinov europe SAS for managing your account and the client relationship, and for analysis and statistical purposes.

User: Any Internet user who connects to and uses the aforementioned site.

Personal information: 'Information which, in any form whatsoever, directly or indirectly, enables the identification of the natural persons to whom it applies' (Article 4 of French Law No. 78-17 of 6 January 1978). The terms 'personal data', 'data subject', 'processor' and 'sensitive data' have the meaning defined by the General Data Protection Regulation (GDPR: No. 2016-679).

2. General terms of use of the site and services offered

The Site is an intellectual work protected by the provisions of the French Intellectual Property Code and applicable international regulations. The Client may not reuse, transfer or exploit all or part of the Site's elements or work for their own account in any way.

Use of the novinov.eu website implies full and complete acceptance of the general terms of use described below. These terms of use may be amended or supplemented at any time; users of novinov.eu are therefore invited to consult them regularly.

The website is normally accessible to users at all times. novinov europe SAS may nevertheless decide to interrupt access for technical maintenance and will endeavour to inform users of the dates and times of the work in advance.

The novinov.eu website is regularly updated by novinov europe SAS. The legal notice may likewise be amended at any time. It remains binding on the User, who is encouraged to consult it as often as possible.

3. Description of the services provided

The purpose of the novinov.eu website is to provide information about all of the company's activities.

novinov europe SAS endeavours to provide information on novinov.eu that is as accurate as possible. However, it cannot be held liable for omissions, inaccuracies or deficiencies in updates, whether caused by itself or by third-party partners supplying the information.

All information provided on novinov.eu is for guidance only and may change. Furthermore, the information on novinov.eu is not exhaustive and is provided subject to amendments made since it was published online.

4. Contractual limitations concerning technical data

The site uses JavaScript technology.

The website cannot be held liable for material damage related to its use. Users also undertake to access the site using recent, virus-free equipment and an up-to-date, latest-generation browser.

The novinov.eu website is hosted by a provider within the European Union in accordance with the General Data Protection Regulation (GDPR: No. 2016-679).

The aim is to provide a service offering the best possible availability. The hosting provider ensures continuity of service 24 hours a day, every day of the year. It nevertheless reserves the right to interrupt hosting for the shortest possible periods, particularly for maintenance, infrastructure improvements, infrastructure failures or if the Services generate traffic deemed abnormal.

novinov europe SAS and the hosting provider cannot be held liable for malfunctions of the Internet network, telephone lines or computer and telephone equipment, particularly where network congestion prevents access to the server.

5. Intellectual property and infringement

novinov europe SAS owns the intellectual property rights and holds the rights of use for all elements accessible on the website, including text, images, graphics, logos, videos, icons and sounds.

Any reproduction, representation, modification, publication or adaptation of all or part of the Site's elements, by any means or process, is prohibited without the prior written authorisation of novinov europe SAS.

Any unauthorised use of the Site or any of its elements will be deemed an infringement and prosecuted in accordance with Articles L.335-2 et seq. of the French Intellectual Property Code.

6. Limitations of liability

novinov europe SAS acts as the publisher of the Site and is responsible for the quality and accuracy of the Content it publishes.

novinov europe SAS cannot be held liable for direct or indirect damage caused to the User's equipment when accessing novinov.eu, resulting either from the use of equipment that does not meet the specifications stated in Section 4 or from the occurrence of a bug or incompatibility.

novinov europe SAS also cannot be held liable for indirect damage, such as loss of business or loss of opportunity, resulting from use of novinov.eu.

Interactive areas, including the ability to ask questions through the contact area, are available to users. novinov europe SAS reserves the right to remove, without prior notice, any content posted in these areas that breaches French law, particularly data-protection provisions. Where appropriate, novinov europe SAS also reserves the right to hold the User civilly and/or criminally liable, particularly for racist, abusive, defamatory or pornographic messages, regardless of the medium used (text, photograph, etc.).

7. Personal data management

The Client is informed of the regulations governing marketing communications, French Law of 21 June 2014 on confidence in the digital economy, the French Data Protection Act of 6 August 2004 and the General Data Protection Regulation (GDPR: No. 2016-679).

7.1 Parties responsible for collecting personal data

For Personal Data collected when creating the User's personal account and browsing the Site, the data controller is NOVINOV EUROPE SAS. novinov europe SAS is represented by its legal representative, Alexandre Carpentier.

As controller of the data it collects, novinov europe SAS undertakes to comply with the applicable legal framework. In particular, it is responsible for defining the purposes of its data processing, providing prospects and clients with full information about the processing of their personal data when consent is collected, and maintaining an accurate record of processing activities.

Whenever novinov europe SAS processes Personal Data, it takes all reasonable measures to ensure that the data is accurate and relevant to the purposes for which it is processed.

7.2 Purposes of the data collected

novinov europe SAS may process all or part of the data:

- to enable browsing of the Site and to manage and trace the services ordered by the User: connection and Site-usage data, billing, order history, etc.;

- to prevent and combat computer fraud (spamming, hacking, etc.): computer equipment used for browsing, IP address and hashed password;

- to improve browsing of the Site: connection and usage data;

- to conduct optional satisfaction surveys concerning novinov europe SAS: email address;

novinov europe SAS does not sell your personal data. It is used only where necessary or for statistical and analytical purposes.

7.3 Rights of access, rectification and objection

In accordance with current European regulations, Users of novinov europe SAS have the following rights:

- the right of access (Article 15 GDPR) and rectification (Article 16 GDPR), and the right to update and complete User data; the right to block or erase Users' personal data (Article 17 GDPR) where it is inaccurate, incomplete, ambiguous or outdated, or where its collection, use, disclosure or retention is prohibited;

- the right to withdraw consent at any time (Article 13(2)(c) GDPR);

- the right to restrict the processing of User data (Article 18 GDPR);

- the right to object to the processing of User data (Article 21 GDPR);

- the right to data portability for data supplied by Users where it is subject to automated processing based on consent or a contract (Article 20 GDPR);

- the right to determine what happens to User data after death and to choose the third party to whom novinov europe SAS must, or must not, disclose it.

Once novinov europe SAS becomes aware of a User's death and in the absence of instructions, it undertakes to destroy the User's data unless its retention is necessary for evidential purposes or to comply with a legal obligation.

If a User wishes to know how novinov europe SAS uses their Personal Data, to request its rectification or to object to its processing, the User may contact novinov europe SAS in writing at:

The User must specify the Personal Data that they would like novinov europe SAS to correct, update or delete, and provide precise identification together with a copy of an identity document (identity card or passport).

Requests to delete Personal Data remain subject to legal obligations imposed on novinov europe SAS, particularly concerning document retention and archiving. Users may also lodge a complaint with supervisory authorities, including the CNIL (https://www.cnil.fr/fr/plaintes).

7.4 Non-disclosure of personal data

novinov europe SAS will not process, host or transfer Information collected about its Clients to a country outside the European Union, or to one deemed by the European Commission not to provide an adequate level of protection, without first informing the Client. novinov europe SAS nevertheless remains free to choose its technical and commercial processors, provided that they offer sufficient guarantees under the General Data Protection Regulation (GDPR: No. 2016-679).

novinov europe SAS undertakes to take all necessary precautions to protect the security of Information and, in particular, to prevent disclosure to unauthorised persons. However, if novinov europe SAS becomes aware of an incident affecting the integrity or confidentiality of Client Information, it must inform the Client as soon as possible and communicate the corrective measures taken. novinov europe SAS does not collect any 'sensitive data'.

The User's Personal Data may be processed by subsidiaries of novinov europe SAS and by processors (service providers) solely to achieve the purposes of this policy.

Within the limits of their respective responsibilities and for the purposes stated above, the main people likely to have access to data concerning Users of novinov europe SAS are the staff of our client service department.

8. Incident notification

Despite every effort, no Internet transmission or electronic storage method is completely secure. We therefore cannot guarantee absolute security.

If we become aware of a security breach, we will notify the users concerned so that they can take appropriate measures. Our incident-notification procedures take account of our legal obligations at both national and European level. We undertake to keep our clients fully informed about all matters affecting the security of their account and to provide the information needed to help them meet their own regulatory reporting obligations.

No personal information concerning users of novinov.eu is published without their knowledge, exchanged, transferred, assigned or sold to third parties on any medium. 8.1 Security

9.1 Cookies

A 'cookie' is a small information file sent to the User's browser and stored on the User's device (for example, a computer or smartphone), hereinafter 'Cookies'. The file includes information such as the User's domain name, Internet service provider and operating system, as well as the date and time of access. Cookies cannot damage the User's device.

novinov europe SAS may process information about the User's visit to the Site, such as pages viewed and searches performed. This information enables novinov europe SAS to improve the Site's content and the User's browsing experience.

Since Cookies facilitate browsing and/or the provision of the services offered by the Site, the User can configure their browser to decide whether to accept them so that Cookies are stored on the device or, conversely, rejected either systematically or according to their issuer. The User may express and change their Cookie preferences at any time. novinov europe SAS may also use external providers to help collect and process the information described in this section.

Finally, by clicking the icons dedicated to the Twitter, Facebook, LinkedIn and Google Plus social networks on the novinov europe SAS Site or mobile application, and where the User has accepted Cookies by continuing to browse, those social networks may also place Cookies on the User's devices (computer, tablet or mobile phone).

These types of Cookies are placed on devices only where the User consents by continuing to browse the novinov europe SAS website or mobile application. The User may withdraw consent for novinov europe SAS to place this type of Cookie at any time.

9.2 Internet tags

novinov europe SAS may occasionally use Internet tags, also known as action tags, single-pixel GIFs, clear GIFs, invisible GIFs and one-by-one GIFs, deployed through a web analytics partner which may be located in another country and may therefore store the corresponding information, including the User's IP address, there.

10. Governing law and jurisdiction

Any dispute relating to use of novinov.eu is governed by French law.

Except where prohibited by law, exclusive jurisdiction is granted to the competent courts of Paris, France.
